RSX->S2K

i have a 2004 acura rsx type s with kpro, i am selling the car to buy a s2000, the buyer has no desire to have the kpro on the ecu so we negotiated that id drop the price and take the kpro off but.... how do i go about doing that??? i know kpro will work on the s2000, and i have every intention of doing that but how do i remove the kpro from the rsx and put it in the s2k????? do i have to send it to hondata or can i have a local shop do it?? need to know asap car will be sold on friday (9/18/09)
